As such, we have a responsibility to our shareholders, employees, customers, suppliers, business partners, and the communities in which we do business, to conduct our business in an ethical and lawful manner.  Novanta’s Code of Business Conduct summarizes the virtues and principles that guide all of our actions in business. We expect our agents, consultants, contractors, representatives, and suppliers to be guided by them as well.

Slavery and Human Trafficking Statements:

The California Transparency in Supply Chains Act requires certain manufacturers doing business in the State of California to disclose their efforts to eliminate the use of slave labor and human trafficking from their supply chains.  The Modern Slavery Act of 2015 requires certain commercial organizations doing business in the United Kingdom to prepare a slavery and human trafficking statement for each financial year.

Supplier Code of Conduct:

Novanta Inc. is committed to conducting business and sourcing materials and components from responsible suppliers who meet the highest applicable legal and ethical standards.  To assist suppliers in meeting Novanta’s expectations, the Supplier Code of Conduct provides basic guidelines for important areas of business conduct.

As used in this Code, “Supplier” refers to any entity providing products, people or services to Novanta, and where applicable, the personnel of the supplier and its subcontractors and agents.  Novanta expects its suppliers to comply with these guidelines and always exercise good judgement in applying them to their conduct as a Novanta supplier.  A Novanta supplier must conduct its business operations in full compliance with the laws, rules and regulations of the countries in which they operate and all of the laws, rules and regulations applicable to their business and/or products, including but not limited to those described in this Code, and in conformity with the internationally recognized standards of business conduct described in this Code.

Conflict Minerals:

Novanta Inc. is committed to complying with all laws and regulations applicable to our business, including the Conflict Minerals laws and regulations.  Novanta is conducting the necessary due diligence to ensure that none of the 3TG minerals in its products directly or indirectly finances or benefits armed groups in the DRC or any of the adjoining countries.  Novanta expects all of its suppliers to use materials that have been sourced in a legally responsible manner and to confirm that they have not, and will not, procure Conflict Minerals from smelters and refineries that are not certfied as conflict free.  Should Novanta discover that any of its suppliers is sourcing any 3TG minerals that directly or indirectly finances or benefits armed groups in the DRC or any of the adjoining countries, Novanta will work with the supplier to end this practice and if the supplier refuses, Novanta will work diligently to identify and partner with an alternative supplier.

California Proposition 65 Compliance Policy:

Novanta Inc. is committed to complying with the California Proposition 65, officially known as the Safe Drinking Water and Toxic Enforcement Act of 1986. The proposition protects the state’s drinking water sources frombeing contaminated with chemicals known to cause cancer, birth defects or other reproductive harm, and requires businesses to inform Californians about exposures to such chemicals. Novanta will meet all California Proposition 65 requirements and is committed to providing our customers with information about substances in our products according to California Proposition 65 requirements.

Registration, Evaluation, Authorization and Restriction of Chemicals (REACH) Compliance Policy:

Novanta Inc. is committed to complying with the Registration, Evaluation, Authorization and Restriction of Chemicals (REACH) Regulation (EC 1907/2006). The aim of REACH, which entered into force on June 1, 2007, is to improve the protection of human health and the environment through the better and earlier identification of the intrinsic properties of chemical substances. Novanta will meet all REACH requirements and is committed to providing our customers with information about substances in our products according to REACH requirements.

Restriction of Hazardous Substances (RoHS) and Waste Electrical and Electronic Equipment Directive (WEEE) Compliance Policy:

Novanta is committed to complying with the Restriction of Hazardous Substances Directive (RoHS), also known as Directive 2002/95/EC, which restricts the use of specific hazardous materials found in electrical and electronic products, taking effect on July 1st, 2006. Novanta is also committed to complying with the closely linked Waste Electrical and Electronic Equipment Directive (WEEE), also known as Directive 2002/96/EC, which mandates the treatment, recovery and recycling of electric and electronic equipment.
